FAQ for potential issuers

Why list in Mauritius?

Mauritius is a leading financial hub for investment in Asia and Africa. Over the years, SEM has been at the forefront of innovation in the Exchange space in Africa, emerging as a reference Exchange on the African continent. SEM is today one of the leading frontier Exchanges and a full-fledged member of the World Federation of Exchanges (WFE). SEM is presently actively pursuing its internationalisation strategy, which is aimed at moving up the value-chain of products listed/traded on the SEM platform and setting the stage for the Exchange to gradually emerge as an attractive listing, trading and capital-raising platform offering international and multi-currency products.

By taking the lead in supporting Impact Exchange, SEM is working to ensure that the capital markets actively provide the infrastructure and systems necessary to create an organized, fair and regulated market that will bring Impact Issuers and Impact Investors together from across the globe.

SEM is fully supportive of the vision of “”Maurice, Ile Durable” (“Mauritius, sustainable island”)”, and supports the emergence of Mauritius as sustainable island by providing a global marketplace to support sustainable investment for social and environmental impact throughout the continent, the Asia Pacific and beyond.

What role does impact reporting play on Impact Exchange?

All (potential) issuers should not only have a specific positive social and/or environmental impact as its core mission but also demonstrate social and/or environmental sustainability via impact assessments, ratings or company certifications. These assessments, ratings and certifications should be instituted and supervised by accredited impact representatives (AIRs) with the same rigor as financial reporting. Issuers are furthermore required to publish impact reports on an annual basis. These reports need to be validated by an AIR.

Impact Partners impact investor members include a wide range of investors including high-net-worth individuals, family offices, foundations, institutions and funds. What is the difference between Impact Exchange and the Impact Partners platform?

Impact Exchange enables issuers to raise capital by issuing securities to a broader group of investors on a platform that will facilitate trading in listed securities. It provides exposure to a global base of impact investors looking for transparent and liquid investment opportunities.

Impact Exchange is focused on entities that target underserved population groups and/or environmental segments as its customers, employees and/ or other relevant stakeholders and have a segment of its operations located in Africa and/ or the Asia Pacific region, which could include manufacturing, sales and /or supply chain. The entities do not have to be registered or have their headquarters in the Asia Pacific or Africa.

Impact Partners is IIX’s private platform connecting sophisticated Impact Investors with a select group of pre-screened SEs that have proven positive social and/or environmental impact. Impact Partners focuses on profiling SEs seeking to raise capital through a private transaction. IIX also operates Impact Incubator through which early stage SEs can attract seed stage funding. If you would like to know more about Impact Partners or Impact Incubator, please contact us.

If the SE does not have an Impact Assessment, how can it receive one?

IIX’s non-profit affiliate IIX Foundation prepares Impact Assessments for SEs. An Impact Assessment is highly recommended for SEs listed on Impact Partners because many Impact Investors utilize these assessments as a critical component of their investment decisions. Impact Partners also accepts impact assessments performed by other independent third parties, which meet standards of quality and utilize recognized methodologies.

What are the types of return on an impact investment?

Impact Exchange lists Social Enterprises that offer the prospect of achieving a positive social and/or environmental impact in addition to financial return.

As with any investment, the financial return that the investor achieves will depend on a variety of factors including the financial performance of the enterprise and the availability of a ready buyer if the investor wishes to sell the investment.

The social and/or environmental return on an investment is essentially the social and/or environmental value that an investment enables the Social Enterprise to create.

A number of tools and methodologies exist for assessing the social and/or environmental impact. These include social metrics such as Impact Reporting and Investment Standards (IRIS), rating tools such as Global Impact Investing Rating System (GIIRS) and impact assessment principles such as those found in the Social Return on Investment (SROI) methodology. Impact Exchange provides information on the social and/or environmental impact of each Social Enterprise profiled on the platform using a selection of these tools and verified by independent third party AIRs.

IIX’s non-profit affiliate IIX Foundation, formerly Shujog, equips Social Enterprises with the tools and knowledge they need to measure and report their social impact. IIX Foundation employs its proprietary Sustainability Pyramid framework to analyze the full value chain of an organization and create an actionable gap analysis with recommendations to the Social Enterprise. IIX Foundation calculates the value created by the enterprise and provides a measure of efficiency in mission realization. For more information about Impact Assessment, please click here.
